Rules for buying and selling goods in the TOP DOG BISTRO online store.
1. General provisions
1.1. These rules for the purchase and sale of goods (hereinafter referred to as the Rules) establish the mutual rights, obligations and responsibilities of the person purchasing goods in the TOP DOG BISTRO online store (hereinafter referred to as the Buyer) and UAB "Rogi Šunys" (hereinafter referred to as the Seller) when the Buyer purchases goods in the online store www.topdogbistro.lt. The Rules apply when the Buyer selects, orders and purchases goods offered by TOP DOG BISTRO.
1.2. The TOP DOG BISTRO store is an online retail store focused on consumers purchasing goods to satisfy personal needs not related to business or profession.
1.3. Only capable natural persons have the right to use and make purchases in the TOP DOG BISTRO store, i.e. persons who have reached the age of majority, whose legal capacity is not restricted by court order, and legal entities acting through an authorized representative, who have registered with TOP DOG BISTRO in accordance with the procedure set out in the Rules.1.4. By registering or placing an order, the Buyer unconditionally confirms that he has the right to purchase at the TOP DOG BISTRO store.
1.5. Together with the order for goods submitted by the Buyer, these Rules become an agreement concluded between the Buyer and the Seller and are a binding legal document for both parties. The agreement is considered concluded when the Buyer forms and submits an order for goods to the TOP DOG BISTRO store and makes payment in accordance with the procedure and within the terms established in the Rules.
1.6. The Buyer is not given the opportunity to submit an order for goods to the TOP DOG BISTRO store if he is not familiar with the Rules and (or) does not agree with them. When the Buyer orders goods at the TOP DOG BISTRO store, it is considered that the Buyer has familiarized himself with and unconditionally agreed to the Rules.
1.7. The Seller reserves the right to change, amend or supplement the Rules. When the Buyer makes purchases at the TOP DOG BISTRO store, the Rules in force at the time of placing the order apply.1.8. The Seller has the right to restrict the Buyer's use of the TOP DOG BISTRO store services or cancel the Buyer's registration without notice if the Buyer uses the TOP DOG BISTRO store in violation of these Rules.
1.9. The Seller informs, confirms and guarantees the Buyer that he, as an intermediary, is authorized to organize and carry out the trade of the goods belonging to him in the TOP DOG BISTRO store.2. Buyer's rights and obligations
2.1. The rights and obligations of the parties are implemented taking into account the Rules for the Sale of Goods and the Provision of Services, when contracts are concluded using communication means, approved by Order No. 258 of the Minister of Economy of the Republic of Lithuania of 17 August 2001 "On the Approval of the Rules for the Sale of Goods and the Provision of Services, when contracts are concluded using communication means".
2.2. The Buyer has the right to purchase goods in the TOP DOG BISTRO online store, in accordance with these Rules and the legal acts of the Republic of Lithuania.
2.3. The Buyer has the right to withdraw from the contract for the purchase and sale of goods concluded in the online store with the Seller, by notifying the Seller in writing within 7 business days from the date of delivery of the goods. The Buyer has the right to withdraw from the contract for the purchase and sale of goods with the Seller only if the goods are of poor quality.2.4. The Buyer has other rights provided for in the Rules and the legal acts of the Republic of Lithuania.
2.5. The Buyer must pay the price of the goods and their delivery, as well as other payments (if such are specified when concluding the contract) and accept the ordered goods.
2.6. If the data provided in the Buyer's registration form changes, the Buyer must immediately update them.
2.7. The Buyer must comply with other requirements set out in the Rules and the legal acts of the Republic of Lithuania.3. Seller's rights and obligations
3.1. If the Buyer attempts to harm the operation or stable operation of the online store or violates its obligations, the Seller may, without prior notice, limit, suspend (terminate) his access to the online store and is not liable for any losses of the Buyer related to this.
3.2. The Seller has the right to temporarily or indefinitely terminate the activities of the online store without separate notice and is not liable for any losses of the Buyer related to this.
3.3. The Seller has the right to unilaterally amend these Rules by publishing the amended Rules on the online store website. Amendments shall enter into force from the moment of publication for all transactions concluded after publication.3.4. The Seller has other rights provided for in the Rules and the legal acts of the Republic of Lithuania.
3.5. The Seller undertakes to make efforts to create conditions for the Buyer to properly use the services provided by the online store. The Seller does not provide any guarantees that the online store will operate uninterruptedly or that data transmission will be error-free. The Seller is not liable for any losses of the Buyer related to malfunctions of the online store and (or) data transmission errors.
3.6. In the event of important circumstances, the Seller, unable to provide the Buyer with the ordered goods, undertakes to offer an analogous product, and if the Buyer refuses to accept the analogous product, to return the money paid by the Buyer for the goods within 7 business days, delivery costs are non-refundable. In this case, the Seller is exempted from liability for failure to provide the goods.
3.7. The Seller undertakes to comply with other requirements set out in these Rules.4. Price of goods and payment.
4.1. Prices of goods in the TOP DOG BISTRO store and in the formed order are indicated in Euros including VAT. Goods are sold to the Buyer at the prices valid at the time of placing the order.
4.2. The price of goods in the TOP DOG BISTRO store is indicated by packaging and the weight is indicated as preliminary. The Seller will make efforts to ensure that the actual weight of the goods corresponds to the Seller's specified maximum, but cannot and does not provide any guarantees in this regard, since the goods are packaged manually. In any case, the Seller ensures that the actual weight of the goods will not be greater or less than 5% of the specified weight.
4.3. The transportation fee is indicated when the order is formed, before its confirmation.
4.4. Payment for goods:
4.4.1. The Buyer pays for the ordered goods through the paysera.lt payment system.4.4.2. The Buyer pays for the goods by bank transfer, checking the box “invoice required” when creating the cart. When paying by bank transfer, indicating the order number. The Buyer, having chosen payment by bank transfer, undertakes to pay immediately, but no later than within 4 hours of placing the order. Only upon receipt of payment, the order will be processed. If the Buyer does not pay for the goods within 4 (four) hours of placing the order, the Seller has the right, without prior notice, to cancel the Buyer’s order.
4.5. Before paying for the goods/services (in the “checkout” window), the Buyer must himself mark with a check that he has read and agrees with all the rules provided in the link. 5. Privacy protection of personal data
5.1. Each new Buyer must register by providing their personal data:
name, surname, phone number, e-mail address, address. If the Buyer is a legal entity, they must additionally provide the following data: company name, code, VAT payer code (if a VAT payer). The Buyer, having become a Registered User (hereinafter referred to as RV), has their own login, password and other data.
5.2. The Seller ensures that RV's personal data will be used only for RV's identification when ordering goods and for the delivery of ordered goods. RV's personal data may be used for marketing purposes only if RV expresses consent when filling out the registration form.
5.3. The Seller undertakes not to disclose RV's personal data and information related to the order to any third parties, except for partners providing services related to RV's order.5.4. The Seller undertakes to ensure the protection of RV's personal data in accordance with the procedure established by the laws of the Republic of Lithuania.
5.5. The RV user undertakes to protect his/her login data to the online store www.topdogbistro.lt and not to disclose them to any third party. In case of violation of this condition, all related liability shall lie with RV.6. Delivery of goods
6.1. The TOP DOG BISTRO store trades and delivers goods only in the territory of Lithuania. The territory of trade is determined by the Seller's unilateral decision. The goods are delivered by the Seller or its authorized representative:
6.1.1. Delivery by courier. The goods are handed over to the courier every Tuesday or Wednesday after payment for the goods ordered by you. Orders are delivered on the next business day, Wednesdays or Fridays, respectively.
6.2. The fee for the delivery of goods is specified on the TOP DOG BISTRO store page "Delivery and Collection" and is applied at the time of placing the order for goods. The delivery fee for goods can be either fixed or dependent on the value of the goods ordered by the Buyer. If the Buyer adds items to the shopping cart after confirming the order, the delivery fee specified at the time of order confirmation does not change.
6.3. The buyer can pick up the goods themselves at a pre-agreed time at the company's production facilities at Senovės 8A, Kernavė.6.4. The Seller has the right to unilaterally set the minimum amount of the shopping cart at its discretion, i.e. the minimum amount for which the Buyer should select and order goods in the TOP DOG BISTRO store in order to purchase them. The minimum amount of the shopping cart is indicated in the “Delivery and Collection” section of the TOP DOG BISTRO store. The minimum amount of the shopping cart does not include the delivery fee for the goods.
6.5. In all cases, the Seller is exempted from liability for violation of the delivery terms of the goods if the goods are not delivered to the Buyer or are delivered late due to the fault of the Buyer or due to circumstances dependent on the Buyer.
6.6. After inspection of the shipment, the goods are transferred to the Buyer only when the Buyer signs the waybill, the goods accompanying the goods or another document confirming the transfer and acceptance of the shipment.6.7. In cases where, upon receipt of the goods, the Buyer notices that the shipment does not contain the appropriate quantity of goods or the delivered goods do not correspond to the goods ordered by him and this is not indicated on the invoice, waybill, goods accompanying document or other document of transfer and acceptance of the shipment, the Buyer must immediately (during delivery of the goods) inform the Seller about this. When the Buyer determines that the delivered goods are of inadequate quality, he shall not accept the poor-quality goods and shall return them to the courier, and the fact and reason for the return of the goods shall be noted on the invoice, waybill or other document of transfer and acceptance of the shipment or return of the goods.
7. Quality guarantee and shelf life of goods
7.1. The properties of all goods sold in the TOP DOG BISTRO online store are generally indicated in the product description for each product. The Seller of the goods is responsible for information about the properties of the goods.
7.2. The color, shape or other parameters of the goods available in the TOP DOG BISTRO online store may not correspond to the actual size, shape and color of the goods due to the characteristics of the display (monitor) used by the Buyer or other technical reasons, as well as taking into account reasonably possible discrepancies in appearance.7.3. The Seller confirms that he is responsible for the sale of goods ordered in the TOP DOG BISTRO online store and the proper delivery of the purchased goods, the quality of the goods, the proper fulfillment of the return conditions and the implementation of other rights and obligations of the Seller provided for in legal acts.
7.4. In cases where, based on legal acts, a certain shelf life is established for specific goods, the Seller undertakes to sell such goods to the Buyer in such a way that he is given a real opportunity to use such goods before the end of the shelf life.8. Withdrawal from the contract. Exchange and return of goods
8.1. The Buyer has the right to withdraw from the purchase and sale contract concluded in the TOP DOG BISTRO store, notifying in writing no later than within 7 (seven) calendar days from the date of delivery of the goods. The Buyer must submit a free-form notice of withdrawal from the contract and other specified information by e-mail: info@topdogbistro.lt .
8.2. Having submitted a written notice of withdrawal from the contract and other specified information, the Buyer must return the goods (if they have been delivered) no later than within 15 (fifteen) calendar days in accordance with the procedure for exchange and return of goods established in paragraph 8.6. of these Rules.
8.3. The right provided for in paragraph 8.1 of the Rules may be exercised only by the Buyer who, in accordance with the provisions of the Law on Consumer Rights Protection of the Republic of Lithuania, is to be recognized as a consumer, i.e. a natural person who seeks to conclude or concludes contracts for purposes not related to his business, trade, craft or profession (for consumption purposes).
8.4. The Buyer (consumer) may not exercise the right to withdraw from the contract provided for in paragraph 8.1 of the Rules when the contract is concluded for:8.4.1. perishable goods or goods with a limited shelf life.
8.5. If the Buyer is not satisfied with the quality of the delivered perishable goods, and such goods include frozen meat pet food with a limited shelf life, including those products that must be stored in a freezer according to the temperature regime set by the manufacturer, he must contact the Seller no later than 24 hours from the delivery of the goods by e-mail: info@topdogbistro.lt or by phone: +370 650 34844. If the Buyer contacts later than the specified deadline, the Seller is not obliged to resolve the Buyer's complaint in the Buyer's favor. Goods are exchanged or returned to the Seller after prior agreement on the time and address for collection of the goods. The Seller's representative arrives to collect the goods. All related costs are borne by the Seller. For the return of goods, please contact us by e-mail: info@topdogbistro.lt or by phone: +370 650 34844. If the Buyer wishes to return the goods during their delivery, the goods are returned to the Seller's representative who delivered them. The returned goods must be stored at a temperature not higher than that specified in the Product Description.
8.7. When returning or exchanging goods purchased in the TOP DOG BISTRO store, the Seller has the right to require the completion of a free-form application for the return or exchange of goods.
8.9. The money paid for goods accepted by the Buyer but later refused shall be paid to the Buyer's account no later than 14 (fourteen) days from the date of receipt of the Buyer's notification of withdrawal from the Agreement, unless the Seller and the Buyer agree otherwise.8.10. When returning or exchanging goods of good quality and corresponding to the Buyer's order, the Buyer will not be refunded the delivery costs of the goods. The returned goods must be stored at a temperature not higher than that specified in the Product description.
9. Information Exchange
9.1. The Seller sends all notifications and otherwise contacts the Buyer to the e-mail address or telephone number provided in the Buyer's registration form.
9.2. The Buyer sends all notifications and questions and otherwise contacts the Buyer by e-mail (info@topdogbistro.lt ) or by telephone (8 65034844).10. Final provisions
10.1. These Rules are drawn up in accordance with the legal acts of the Republic of Lithuania.
10.2. The law of the Republic of Lithuania shall apply to relations arising on the basis of these Rules.
10.3. In the event of damage, the guilty party shall compensate the other party for direct losses in accordance with the procedure and grounds established by the laws of the Republic of Lithuania.
10.4. All disagreements arising from the implementation of these Rules shall be resolved by negotiation. If an agreement cannot be reached, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.
10.5. Each consumer has the opportunity to resolve disputes with the Seller electronically, without going to court. First of all, the consumer must contact the Seller in writing and within 14 days of receiving the claim, if the Seller does not respond to the consumer's claim or does not satisfy the consumer's claim, the consumer may contact an entity that handles consumer disputes out of court, i.e. State Consumer Rights Protection Service.
